1. Scope of Application

These Terms & Conditions (“T&C”) apply to all services, consulting engagements, digital content, and interactions provided by SaDeris Group GmbH, based in Zürich, Switzerland

(“we”, “our”, “us”). By using our website or engaging our services, you agree to these T&C.

2. Services Provided

  • Bookkeeping for Einzelfirma, GmbH, AG

  • Annual financial statements and balance sheets

  • Accounts payable and receivable management

HR & Payroll

  • Payroll outsourcing

  • HR administration and personnel files

  • HR policies and standards

  • HR Due Diligence

  • Labour relations consulting and conflict support

  • Compensation audits, KPI systems, motivation structures

  • Compliance checks (Datenschutz, ISO, HR standards)

  • Corporate codes of conduct

  • GDPR/DSG implementation support

  • Anticorruption policies for SMEs

Migration & Integration

  • Residence permit applications (B/L/C)

  • Family reunification support

  • Naturalisation consulting and Einbürgerungstest preparation

3. Contract Formation

A contract is formed when:

  • You accept a written offer from SaDeris Group GmbH (email is sufficient), or

  • We confirm your request in writing.

We reserve the right to decline engagements without providing reasons.

4. Client Responsibilities

Clients agree to:

  • Provide accurate, complete, and timely information

  • Submit required documents within agreed deadlines

  • Respond to inquiries promptly

  • Ensure that all data provided is lawful and authorised for use

Delays caused by missing or incorrect information may extend deadlines or incur additional fees.

5. Prices and Payment Terms

All prices are in CHF, excluding VAT unless stated otherwise. Invoices are payable within 10 days of issuance.

Late payments may incur:

  • Reminder fees

  • Statutory interest under Swiss law

  • Suspension of ongoing services

6. Cancellations and Rescheduling

Cancellations or rescheduling must be made at least 24 hours in advance. Shortnotice cancellations may be charged up to 100% of the agreed fee. This policy applies to consulting sessions. External costs (e.g., room rentals) follow the cancellation terms of the respective provider.

7. No Legal, Tax, or Financial Guarantee

SaDeris Group GmbH provides consulting services based on expertise and best practices.

However, we do not guarantee:

  • Specific financial outcomes

  • Approval of applications by authorities

  • Tax savings

  • Migration decisions

  • Legal results

All final decisions (e.g., by Steueramt, SVA, Migrationsamt, banks, insurers) remain outside our control.

8. Liability

To the extent permitted by Swiss law:

  • We exclude liability for slight negligence

  • We are not liable for indirect or consequential damages

  • We are not liable for decisions made by clients based on our recommendations

  • We are not liable for delays caused by third parties or authorities

Nothing in these T&C limits liability for gross negligence or unlawful intent.

9. Use of Website

All website content (texts, graphics, documents, branding) is protected by copyright.

Reproduction or distribution without written permission is prohibited. We are not responsible for external links or thirdparty content.

10. Data Protection

Personal data is processed in accordance with the Swiss Federal Act on Data Protection (DSG). Details are provided in our Privacy Policy, which forms an integral part of these T&C.

11. Confidentiality

Both parties agree to maintain strict confidentiality regarding all information exchanged during the engagement.

12. ThirdParty Involvement

We may engage trusted thirdparty providers (IT, legal, accounting, HR, migration specialists) when necessary. All third parties are required to comply with Swiss data protection standards.

13. Amendments to the T&C

We may update these T&C at any time. The current version published on our website is legally binding.

14. Governing Law and Jurisdiction

These T&C are governed exclusively by Swiss law. The place of jurisdiction is Zürich, Switzerland.
